1. Agreement
These Terms of Service ("Terms") form a binding agreement between Legaltalent LLC, a Delaware limited liability company ("Legal Talent", "we"), and the legal entity that registers for or uses the Platform ("Customer", "you").
If you accept on behalf of an organization, you represent that you have authority to bind that organization. Consumer use is not permitted; the Platform is offered exclusively as a business-to-business service.
2. Description of services
Legal Talent provides a cloud-based KYC and compliance platform that may include, depending on your subscription:
- Identity verification workflows with document capture, OCR extraction, and liveness checks
- AML and sanctions screening against lists including OFAC, UN, EU, and other watchlists
- Adverse media monitoring and PEP identification
- Biometric face match and continuous watchlist monitoring
- Configurable onboarding workflows, session management, audit trails, and exportable reports
- APIs, webhooks, and dashboard tools for integration into Customer systems
3. Account registration and security
You must provide accurate registration information and keep account credentials confidential. You are responsible for all activity under your tenant, including actions by authorized users and API keys.
You must notify us promptly of unauthorized access. We may suspend accounts that pose a security risk or violate these Terms.
4. Acceptable use
You may use the Platform only for lawful compliance, identity verification, and risk-management purposes consistent with applicable AML/CFT, data protection, and financial regulations in the jurisdictions where you operate.
You are solely responsible for determining whether your use case is permitted by local law and for providing appropriate notices and legal bases to data subjects whose information you submit.
5. Prohibited uses
You may not use the Platform to:
- Evade, circumvent, or assist others in evading economic sanctions, export controls, or AML obligations
- Submit falsified identity documents, synthetic identities, or data you know to be inaccurate for the purpose of fraud
- Screen individuals or entities for discriminatory, unlawful, or non-compliance purposes unrelated to regulated onboarding or ongoing monitoring
- Reverse engineer, scrape, or overload the service except as expressly permitted in writing
- Resell or sublicense the Platform without a written partner agreement
- Upload malware, attempt unauthorized access to other tenants' data, or probe infrastructure security
- Process personal data in violation of applicable privacy laws or without a valid legal basis
6. Subscriptions and billing
Paid features require a subscription or executed order form specifying plan tier, usage limits, and fees. Unless otherwise stated in your order form:
Taxes, wire fees, and currency conversion costs are your responsibility unless your order form states otherwise.
- Fees are billed in advance or in arrears according to the selected plan
- Usage beyond included limits may incur overage charges at published or contracted rates
- Subscriptions renew automatically unless cancelled per the notice period in your agreement
- Non-payment may result in suspension after reasonable notice; data export may be limited during suspension
7. Service levels and disclaimers
We target high availability for production environments and maintain the Platform on AWS infrastructure with monitoring and incident response procedures. Unless a separate SLA is signed, the Platform is provided on a commercially reasonable efforts basis.
Screening results, risk scores, and identity verification outputs are decision-support tools. They do not constitute legal advice, a guarantee of regulatory compliance, or a definitive determination that a person or entity is sanctioned, a PEP, or free from risk. You remain responsible for final compliance decisions and filings with regulators.
8. Intellectual property
Legal Talent retains all rights in the Platform, software, documentation, trademarks, and underlying technology. These Terms grant you a limited, non-exclusive, non-transferable license to use the Platform during your subscription for internal business purposes.
You retain ownership of data you submit. You grant Legal Talent a license to process Customer Data solely to provide and improve the services, comply with law, and maintain security.
9. Confidentiality
Each party may receive confidential information from the other. The receiving party will protect confidential information with at least reasonable care and use it only to perform under these Terms.
Confidentiality obligations do not apply to information that is public, independently developed, or lawfully received from a third party without restriction. We may disclose information when required by law, after notice where permitted.
10. Limitation of liability
To the maximum extent permitted by applicable law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or regulatory fines arising from Customer's compliance decisions.
Legal Talent's aggregate liability for all claims arising from these Terms or the services in any twelve-month period is limited to the fees paid by Customer to Legal Talent in that period, except where liability cannot be limited by law (including fraud or willful misconduct).
11. Indemnification
You will defend and indemnify Legal Talent against third-party claims arising from: (a) your use of the Platform in violation of these Terms or applicable law; (b) Customer Data you submit, including lack of legal basis or required notices to data subjects; or (c) your compliance decisions, filings, or failure to meet regulatory obligations.
Legal Talent will defend you against third-party claims that the Platform itself infringes a third party's intellectual property rights, subject to standard exclusions and your prompt notification.
12. Termination
Either party may terminate for material breach if the breach is not cured within thirty (30) days of written notice. We may suspend or terminate immediately for prohibited use, security threats, or legal requirement.
Upon termination, your access ends and we will delete or return Customer Data per our Privacy Policy and your order form, subject to legal retention requirements. Sections that by nature should survive (confidentiality, liability limits, indemnification, governing law) remain in effect.
13. Governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
14. Dispute resolution
The parties will attempt in good faith to resolve disputes through negotiation. If not resolved within thirty (30) days, disputes shall be submitted to the state or federal courts located in New Castle County, Delaware, United States, and each party consents to exclusive jurisdiction there.
Nothing prevents either party from seeking injunctive relief for misuse of intellectual property, confidentiality breaches, or security incidents.
15. Modifications
We may update these Terms to reflect product changes, legal requirements, or pricing structure. Material changes will be posted on this page with an updated date. For active paying customers, we will provide at least thirty (30) days' notice before changes take effect unless required sooner by law.
If you do not agree to updated Terms, you may terminate before the effective date. Continued use after the effective date constitutes acceptance.
